Terms of Service

1. Agreement
These Terms govern your access to and use of Nexus (the “Software”) and this website. By subscribing to or using Nexus, you agree to these Terms on behalf of yourself and your organisation.
2. Licence to use
Subject to an active subscription, you are granted a non-exclusive, non-transferable, revocable licence to use Nexus for your internal business operations. Nexus is proprietary software; you may not modify, reverse-engineer, sublicense, resell or redistribute it without prior written permission. See the LICENSE shipped with the Software for the full terms.
3. Subscriptions & billing
Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. Prices are shown in GBP and exclude VAT and any applicable taxes, which may be added at checkout. Your subscription renews automatically until cancelled.
4. Free trial
Where offered, the 14-day free trial converts to a paid subscription at the end of the trial unless cancelled beforehand. We may modify or withdraw trials at any time.
5. Cancellation & refunds
You may cancel at any time via the Stripe Customer Portal. Cancellation stops future renewals; your licence remains valid until the end of the period you have paid for (plus any grace window). Except where required by law, fees already paid are non-refundable.
6. Acceptable use
You agree not to use Nexus unlawfully, to infringe others’ rights, or to attempt to circumvent its licensing. You are responsible for the data you connect (e.g. your Zendesk account) and for securing access to your own deployment.
7. Intellectual property
Nexus, its source, design and trademarks remain the property of Joe Kane. No rights are granted except as expressly set out here.
8. Warranty disclaimer
Nexus is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental or consequential damages, or loss of profits or data. Our total aggregate liability is limited to the fees you paid in the 12 months preceding the claim.
10. Termination
We may suspend or terminate access for breach of these Terms. On termination your right to use the Software ends; sections that by their nature should survive (e.g. IP, disclaimers, liability) continue.
11. Changes
We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above; continued use constitutes acceptance.
